Terms of Service

These terms are the agreement between you and Set List Creator. Please read them carefully — by using the service you agree to be bound by them.

Introduction & Acceptance

These Terms of Service (“Terms”) govern your access to and use of Set List Creator (the “service”), available at setlistcreator.co.nz. The service is operated by Paragon Design, a sole operator based in New Zealand (“Set List Creator”, “we”, “us” or “our”).

By creating an account, starting a free trial, or otherwise using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the service. If you are using the service on behalf of a band or other group, you confirm you are authorised to accept these Terms on its behalf.

The Service

Set List Creator helps cover bands manage a song library, build and auto-generate setlists, manage gigs, invite band members (who receive read-only access via a link), and export PDFs and gig packs. We may add, change or remove features over time to improve the service.

We provide the service on an ongoing basis but do not guarantee it will always be available or uninterrupted. We may occasionally suspend access for maintenance, updates or reasons outside our reasonable control.

Accounts

To use most features you need an account. You agree to provide accurate information, keep your login credentials secure, and not share your account. You are responsible for all activity that occurs under your account.

As a band owner, you may invite band members who receive read-only access to finalised setlists, charts, audio and gig details. You are responsible for who you invite and for the contact details you add for them.

Subscriptions, Billing, Auto-renewal & Cancellation

Set List Creator is offered as a paid subscription at NZD $7.95 per month. Payments are processed securely by Stripe; by subscribing you also agree to Stripe’s applicable terms.

  • Auto-renewal. Your subscription renews automatically each month and your payment method is charged the then current fee until you cancel.
  • Cancellation. You can cancel at any time from the billing portal. Cancellation stops future renewals; it does not retroactively refund the current period.
  • Access after cancelling. When you cancel, you keep access until the end of the period you have already paid for, after which the subscription ends.
  • Price changes. We may change the subscription price in future. We will give you reasonable notice before a change takes effect, and you can cancel if you do not wish to continue at the new price.

We do not offer a specific refund guarantee beyond what the law requires. Cancelling stops future renewals as described above. Nothing in these Terms limits any rights you have under the New Zealand Consumer Guarantees Act 1993 or the Fair Trading Act 1986, which continue to apply to the extent they are mandatory.

Free Trial

We offer a 30-day free trial, and no credit card is required to start it. During the trial you have access to the service’s features so you can decide whether it is right for you.

The trial does not automatically convert into a paid subscription unless you choose to subscribe and provide payment details. If you do not subscribe, paid features become unavailable when the trial ends, though your data is retained unless and until you delete your account. We may modify or discontinue the trial offer at any time.

Acceptable Use

You agree to use the service lawfully and responsibly. In particular, you must not:

  • Upload, store or share any content that you do not have the right to use, or that infringes the intellectual property, privacy or other rights of any person.
  • Upload content that is illegal, harmful, defamatory, or that contains malware or malicious code.
  • Attempt to gain unauthorised access to the service, other accounts, or our systems, or interfere with or disrupt the service.
  • Use the service to send spam, or use band member contact details for any purpose other than legitimate band communication.
  • Reverse engineer, scrape, resell or otherwise misuse the service or its content except as expressly permitted.

You warrant that you have all necessary rights, licences and permissions for any content you upload, including chord charts and audio tracks, and that your use of that content through the service is lawful.

User Content & Licence

You retain all ownership of the content you create or upload to the service, including your song library, setlists, gig details, charts and audio (“User Content”). We do not claim ownership of it.

So that we can operate the service for you, you grant Set List Creator a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display your User Content solely for the purpose of providing and supporting the service to you and the band members you invite. This licence ends when you delete the relevant content or your account, subject to routine backups as described in our Privacy Policy.

You are solely responsible for your User Content and for keeping your own copies. We are not a backup service and are not responsible for any loss of User Content.

Copyright & Takedown

We respect intellectual property rights and expect our users to do the same. If you believe content on the service infringes your copyright or other rights, please send a notice to support@setlistcreator.co.nz including:

  • A description of the work or right you say has been infringed.
  • Enough detail to locate the content on the service (for example, the band, song or file concerned).
  • Your contact details.
  • A statement that you have a good-faith belief the use is not authorised by the rights holder, the law, or otherwise, and that the information in your notice is accurate.

We will review valid notices and remove or disable access to infringing content where appropriate. We may terminate the accounts of users who are repeat infringers.

Intellectual Property

The service itself — including its software, design, branding, logos and all related intellectual property — is owned by Set List Creator and its licensors and is protected by law. Except for the rights expressly granted to you to use the service, these Terms do not transfer any intellectual property rights to you. You must not use our name or branding without our prior written permission.

Disclaimers & Limitation of Liability

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the service will be error-free, secure, or available at all times, or that it will meet your specific requirements.

To the maximum extent permitted by law, Set List Creator and Paragon Design will not be liable for any indirect, incidental, special or consequential loss, or for any loss of data, revenue, profits or goodwill, arising out of or in connection with your use of the service. Where our liability cannot be excluded but can be limited, our total liability to you is limited to the amount you paid us for the service in the three months before the event giving rise to the liability.

Nothing in these Terms limits or excludes any rights or guarantees you have under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986 that cannot lawfully be excluded. If you are using the service for business purposes, you agree that those consumer guarantees do not apply to the extent the law allows them to be contracted out of.

Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if your use poses a risk to the service or others, or as otherwise required by law. We will give reasonable notice where practical.

On termination, your right to use the service ends. Provisions that by their nature should survive termination — including those on User Content licences for residual backups, intellectual property, disclaimers, limitation of liability and governing law — will continue to apply.

Governing Law

These Terms are governed by the laws of New Zealand. You and Set List Creator submit to the non-exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising out of or in connection with these Terms or the service.

Changes

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page, and significant changes may be communicated by email or in the app. Your continued use of the service after an update means you accept the revised Terms.
